Terms of Use & Data Processing Consent

1. Acceptance of Terms

By registering for an account or using the Service, you confirm that you are at least sixteen (16) years old (or the age of majority in your country) and that you have the legal capacity to accept these Terms. If you do not agree with these Terms, please do not access or use the Service.

2. Account Registration and Responsibility

You agree to provide accurate, current and complete information when registering and to keep your account credentials secure. You are responsible for all activities that take place under your account. You will promptly notify us of any unauthorized use or breach of your account.

3. Your Data, Images & AI-Processing Consent

By providing any User Data (including photos or videos you upload for avatar creation or virtual try-on, clothing or metadata, preferences, style chat interactions, AI inputs) you explicitly and freely consent to our processing of such data for the purposes described below:

• To generate your digital avatar, virtual wardrobe and styling suggestions.
• To personalise your experience, including feed content, recommendations, marketplace listings, and social features.
• To train and improve our AI systems and algorithms using anonymised or aggregated derivatives of your data.
• To perform analytics, platform optimisation, marketing activities and commercial campaigns (including via partners).

You grant FASHI a non-exclusive, worldwide, royalty-free, transferable and sublicensable licence to use your uploaded content (images, avatar, wardrobe metadata, chat inputs) for these purposes, to the extent permitted by applicable law.

You understand that our AI and automated systems will process your User Data and that the results (avatars, outfit suggestions, virtual try-ons) are generated automatically and may occasionally contain inaccuracies. You may request deletion of your avatar, virtual wardrobe and associated data at any time (see Section 8).

4. Prohibited Conduct

You agree not to engage in any of the following:

• Upload or share unlawful, fraudulent, hateful, harassing, pornographic, violent or otherwise objectionable content.
• Impersonate any person or entity, or misrepresent your affiliation or identity.
• Use the Service for any commercial purpose not authorised (except via Marketplace under our rules).
• Reverse-engineer, circumvent or misuse our AI systems or exploit bugs.
• Interfere with or bypass any security or authentication features of the Service.

5. Content Ownership, Licence & Removal

You retain all rights to Your Content. You represent and warrant that you have the necessary rights in the content you upload and that your content does not violate any third-party rights. We may remove or disable access to content we believe violates these Terms.

6. Termination & Suspension

We may suspend or terminate your access to the Service at our sole discretion if you violate these Terms, or if we believe your account or content threatens the safety, security or integrity of the Service. On termination, you remain responsible for any accrued obligations, and we may retain certain data for legal, compliance or legitimate business purposes under our Privacy Policy.

7. Your Rights Under Data Protection Laws

If you are based in the European Economic Area (EEA) or UK, you have the following rights under applicable data protection law (including GDPR):

• Access your User Data and receive a copy in a structured, commonly-used format.
• Rectify or update your information.
• Request deletion ("right to be forgotten") of your data, avatar, virtual wardrobe or profile (subject to retention limits).
• Object to or withdraw consent to data processing (including marketing or profiling).
• Request restriction of processing or portability of your data.

8. Marketing Communications & Your Choices

By accepting these Terms you agree to receive service communications and promotional offers via email, in-app messaging or push notifications. You may withdraw your consent to promotional communications at any time via your account settings or by contacting us. However, you cannot opt-out of essential service notifications (such as account verification, safety alerts).

9. Changes to These Terms

We may amend or replace these Terms at any time. If we make material changes, we will notify you (e.g., via email or in-app notification) and update the "Last updated" date. Your continued use of the Service after that date constitutes acceptance of the revised Terms.

10. Disclaimer, Limitation of Liability & Indemnity

a. Disclaimer of Warranties

The FASHI Service is provided on an "as-is" and "as-available" basis. While we strive to maintain the highest quality and reliability, we do not guarantee that the Service will be uninterrupted, error-free, secure, or free of viruses or harmful components.

To the extent permitted by law, FASHI disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

b. Limitation of Liability

To the fullest extent permitted by applicable law, FASHI Technologies UG (in formation), its affiliates, officers, directors, employees, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenues, data, goodwill, or other intangible losses.

c. Indemnification

You agree, to the extent permitted by law, to indemnify and hold harmless FASHI Technologies UG (in formation), its affiliates, officers, directors, employees, licensors, and agents from and against any and all claims, damages, losses, liabilities, and expenses arising out of or related to your use of the Service.

11. Governing Law & Dispute Resolution

a. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding its conflict-of-law principles.

b. Dispute Resolution and Jurisdiction

Before initiating formal legal proceedings, you agree to first contact FASHI at huberth@fashi.eu to attempt an amicable resolution.
